STATUTE OF THE "301PineStreet" FOUNDATION
General provisions
§ 1
1. The Foundation
under the name "301PineStreet", hereinafter referred to as
the "Foundation", was established by a notarial deed drawn
up by Notary Public Anna Majchrzak, running a Notary Office at
Nowowiejska Street No. 6, apt. 3 in Warsaw on 31 May 2022.
2.
The founder of the Foundation is Adam Bochenek.
3. The
Foundation operates on the basis of the Act of 6 April 1984 on
foundations and this Statute.
§ 2
1. The seat of the
Foundation is the capital city of Warsaw.
2. The area of the
Foundation's activity is the territory of the Republic of Poland. In
order to achieve its statutory objectives, the Foundation may operate
in other countries with respect for local law.
3. The duration
of the Foundation's operation is unlimited.
4. The Foundation
has legal personality.
5. The minister responsible for the
prevailing statutory objectives of the Foundation is the Minister of
Culture and National Heritage.
§ 3
1. The foundation
name is 301PineStreet.
2. The Foundation
may have its own holiday, which is established or changed by the
Foundation's Management Board.
3. The Foundation
may use the symbols of the Foundation and use its graphic sign
(logotype), the pattern of which is established or changed by the
Management Board of the Foundation.
4. The Foundation
may establish badges, medals of honor, prizes and distinctions, the
model and manner of awarding of which are determined or changed by
the Foundation's management board, and award them to natural and
legal persons distinguished for the implementation of its statutory
objectives adopted by the Foundation or for itself.
5. The name of the
Foundation, its logotype and symbols, including badges, medals of
honor, awards and awards listed in par. 3-4 of this paragraph are the
proprietary intellectual property of the Foundation and are subject
to legal protection.
Objectives and
implementation of the Foundation's activities
§ 4
The Foundation's
goal is the broadly understood commemoration of Tadeusz Kościuszko
and the values he was guided by, as well as support for war veterans,
including in particular:
a. commemoration of
Tadeusz Kościuszko,
b. disseminating knowledge about historical
events related to Tadeusz Kościuszko,
c. popularizing the
achievements and presenting the history and biography of Tadeusz
Kościuszko,
d. promoting the ideals and values professed by
Tadeusz Kościuszko, i.e. the ideas of justice, equality, the rule of
law, patriotism, education and shaping youth,
e. respecting war
veterans,
f. dissemination of patriotic attitudes and historical
knowledge,
g. inspiring the young generation to live in
accordance with Kościuszko's values, in the spirit of respect for
the homeland and war heroes,
h. undertaking educational
activities and shaping young people, the main idea of which will be
to expand knowledge about Tadeusz Kościuszko, but also about the
events in which he participated, as well as about the values he was
guided by,
i. ensuring access to culture for adults, youth and
children,
j. support and respect for veterans, including the
memory of their merits and social role,
k. social activation of
war veterans,
l. social assistance to war veterans,
m.
protection and promotion of health and dissemination of preventive
health care,
n. promotion and organization of volunteering and
charity activities.
§ 5
The Foundation
pursues its statutory objectives through, among others:
a. organizing and
supporting educational initiatives and programs in the field of
implementing the Foundation's statutory objectives,
b.
collecting funds needed to achieve the statutory objectives of the
Foundation,
c. organizing debates, conferences, lectures,
seminars, courses and other events of a similar nature in order to
carry out the tasks and statutory bjectives of the Foundation,
d.
cooperation with other organizations, institutions and entities with
a similar scope of activity in order to implement the statutory tasks
of the Foundation,
e. social assistance and scientific activity
in the field of implementation of the Foundation's statutory
objectives,
f. organizing trainings, webinars, workshops and
other events within the Foundation's area of operation,
g.
participation in Polish and international projects commemorating
Tadeusz Kościuszko,
h. cooperation with state and local
government institutions operating within the scope of the
Foundation's statutory objectives,
i. activity in
social media, running thematic blogs, publishing books and other
publications,
j. conducting and promoting volunteering and
charity activities.
§ 6
1. In order to
achieve its goals, the Foundation may support the activities of other
natural persons
and legal institutions as well as institutions
consistent with its objectives.
2. The Foundation may support
other foundations and associations whose goals are consistent with
those of the Foundation.
Foundation's assets
and income
§ 7
1. The Founder's
Fund is the amount of PLN 1,000 (one thousand zlotys) contributed in
full by the Founder.
2. The assets of the Foundation consist of
the Founding Fund as well as cash and property acquired by the
Foundation in the course of its operation.
3. The founder may
create internal funds, transfer part or all of the income to these
funds, name them and indicate goals related to statutory activities,
for the implementation of which funds are collected in the funds. The
principles of the functioning of the fund are defined by the Founder.
§ 8
The Foundation's
income may come from:
a. donations,
inheritances, bequests,
b. grants, subsidies and grants,
c.
collections, science, crowdfunding, fundraising and patronage,
d.
property rights, movable and immovable property of the Foundation,
e.
business activity, if the Foundation conducted such,
f. European
Union funds,
g. funds provided by government and local
government administration units,
h. the Founder's benefits,
i.
proceeds from deposits in bank accounts, capital deposits, securities
and interest on loans granted.
Economic activity
§ 9
1. In order to
achieve its statutory objectives, the Foundation may conduct business
activity in the country and abroad.
2. The scope of economic
activity conducted by the Foundation is defined by the Management
Board by means of a resolution.

§ 10
1. The governing
body of the Foundation is the Foundation Board.
Foundation Board
§ 11
1. The Management
Board manages the activities of the Foundation and represents it
outside.
2. The tasks of the Management Board include in
particular:
a. amendments to the statute and statutory
objectives,
b. adopting regulations,
c. adopting action
programs and drawing up plans for achieving goals,
d.
management of the Foundation's assets,
e. distribution of the
Foundation's funds for the implementation of its individual goals,
f. drafting and issuing resolutions on the Foundation's matters,
g. determining the number of employees and the amount of funds for
employee remuneration,
h. accepting donations, inheritances and
bequests, as well as subsidies and subsidies,
i. making
decisions on matters relating to the operation and implementation of
statutory objectives,
j. organizing collections,
k.
making decisions on liquidation,
l. making decisions on merging
with another foundation,
m. other matters specified in the
Statute of the Foundation.
3. The Foundation's Management Board
is headed by the President of the Management Board.
4. The
Founder becomes the first President of the Management Board.
5.
The President of the Management Board appoints his successor by way
of a resolution. At the time of resignation from the position of the
President of the Management Board, or in the event of his death, if
the President of the Management Board has not indicated his
successor, the Members of the Management Board appoint a new
President of the Management Board by way of a resolution.
6.
Members of the Management Board are appointed and dismissed by the
President of the Management Board.
7. Members of the Management
Board are appointed for an indefinite period and may be dismissed at
any time.
8. A member of the Management Board may resign from
his function at any time. A written resignation of a Management Board
member is submitted to the President of the Management Board.
Way of
representation
§ 12
1. Two Members of
the Management Board or the President of the Management Board alone
are authorized to make declarations of will on behalf of the
Foundation.
2. The function of the Head of the Work
Establishment within the meaning of the provisions of the Labor Code
is performed by the President of the Management Board.
3. In
contracts concluded between the Foundation and the President of the
Management Board or other Members of the Management Board, the
Foundation is represented by other Members of the Management Board or
the President of the Management Board.
Changes in the
Statute
§ 13
1. In matters of
amending the Statute, merging with another Foundation and liquidation
of the Foundation, the President of the Management Board is
competent.
2. The scope of changes to the Statute of the
Foundation is determined by the President of the Management Board.
Liquidation of the
Foundation
§ 14
1. The Foundation is
liquidated if its statutory objectives are achieved or if its
financial resources and assets are exhausted.
2. When adopting a
resolution on the liquidation of the Foundation, the President of the
Management Board appoints the Liquidator of the Foundation.
3.
During the liquidation period, the Foundation is managed and
represented by the Liquidator.
4. The liquidator's duty is to
open and carry out the liquidation process of the Foundation.
§ 15
1. The assets of
the Foundation remaining after its liquidation may be allocated by
way of a liquidator's resolution to other operating foundations with
similar goals.
